A leading Los Angeles-area law firm is seeking a Corporate Paralegal for its Century City office. The Paralegal will support attorneys with entity formation and dissolution work for corporations (including non-profit corporations), LLCs, and partnerships.
Responsibilities include drafting governing documents such as bylaws and operating agreements, preparing stock, membership, and partnership interest assignments, and assisting with purchase and sale transactions, including retrieving, reviewing, and organizing due diligence documents. The role also coordinates annual and miscellaneous regulatory and tax filings, prepares gifting documents for estate planning clients, and drafts deeds and related property transfer documents. The Paralegal will conduct legal research and keep current with Secretary of State revisions, sharing relevant changes with the firm’s attorneys and paralegals.
Candidates must have a four-year college degree or equivalent, an ABA-approved paralegal certificate, and at least 3 years of experience as a Corporate Paralegal at a law firm or equivalent setting. The position is non-exempt and requires five days onsite for the first 30 days, then four days onsite and one day remote per week. The base salary range is $95,000$110,000.
